The Walt Disney Company yesterday said it would not renew the board seats of Twitter's CEO and Facebook's COO due to potential conflicts of interest.

"Given our evolving business and the businesses Ms. Sandberg and Mr. Dorsey are in, it has become increasingly hard for them to avoid conflicts relating to Board matters, and they are not standing for re-election" at the annual meeting in March, DIS says.

Disney has made a decision to move heavily into delivery online of its television shows, as well as movies as viewers are abandoning the traditional cable package accounts.

At the same time, Disney is becoming more like a tech company.

The departures of Sandberg and Dorsey - who is also the CEO of digital payments firm Square - from Disney's board comes at a time when both Facebook and Twitter have been emphasising in promoting video content on their social networking and messaging services - a territory in which Disney is a prime player.

The board will then select its new lead independent director at its first meeting following the annual shareholder meeting, said Disney. A smaller cash bonus was awarded to Iger due to there being an absence of growth during the fiscal year that ended September 30, showed data in one of Disney's regulatory filings.

Facebook also pushed video, including debuting its "Watch" feature in August a year ago.
