Another major development for Xerox; the company says the management changes won't be happening
The move is a triumph for Icahn and Deason, who together hold 15 percent of Xerox. In January it reached a deal to cede control of its operations to Fujifilm of Japan, which has always been its partner in an worldwide joint venture. In the absence of such stipulations, the agreement expired at 8:00 p.m. ET on May 3, 2018. That settlement had called for the replacement of Jeff Jacobson, the company's chief executive, and a majority of its board of directors. "We strongly believe that all Xerox shareholders should be able to decide for themselves the operational, financial and strategic merits of the transaction". The agreement follows a court order that put a temporary block on the sale of Xerox to Fujifilm.
Growing uncertainties over the deal have driven Xerox shares down 12 per cent since the settlement agreement on May 1. Ultimately, Fujifilm would take control of Xerox, whose brand became synonymous with photocopying.
Xerox CEO Jason Jacobson and six board members are to remain at the vendor, despite a deal being reached with activist investors that would have seen them depart.
Visentin had previously been hired by Icahn to assist him in fighting Xerox.
Fujifilm has also said it is planning to appeal last week's court order.

Icahn on Tuesday referred to Fujifilm as a "supposed "partner" whose conduct over the previous year is more unbelievable than what you see on fictional TV shows like House of Cards or Billions", referring to popular television series about Machiavellian intrigue in the corridors of political power.
The news caps a tumultuous week for the American maker of office products.
"I think they might be better off putting their energies into the medical business", he said.
The embattled office equipment company said late Thursday that a settlement it reached earlier this week with unhappy shareholders would not go into effect because a key deadline had been missed.
